Website Design Terms of Service

  1. Specifications

Thinktop Limited’s team will discuss the website project with you either verbally or in a meeting before we start the development, to determine the requirements of the site. The specifications will be detailed in full in a proposal and agreed to by both parties. A payment plan will be agreed upon and a deposit payment required to begin the website design process. Any additional specifications that are later required will need to be charged for. Once the price for the design and build has been agreed, the development will be scheduled in and work can begin.

  1. Design Concepts

Thinktop Limited website designers and developers, using the information gathered from yourself such as an existing logo or specific requirements, will further define the visual and functional needs of your site. Once a design concept has been created in a graphic and reviewed with you, additional design modifications can be made within the original specification. If at this time there are additional modifications made to the original specification the cost of the design and build will be reviewed at this time. Once you are satisfied that the design is right for your business, we will proceed to development.

  1. Website Development

Our developers will take the selected design concept and create all of the pages for your site and layout the appropriate images and content. The necessary content for your site must be supplied before we start the project for us to continue and the site to be completed. If the site requires a Content Management System or E-commerce System these will be built to encompass all the functionality from the agreed specification. During the development stages, the site will be available to view on one of our development servers. You will be asked to review the site and we will make any modifications that are necessary within the original specifications laid out.

  1. Browsers

Browser testing no longer means attempting to make a website look the same in browsers of different capabilities or on devices with different size screens. It does mean ensuring that a person’s experience of a design should be appropriate to the capabilities of a browser or device.

Desktop browser testing – We test our work in current versions of major desktop browsers including those made by Apple (Safari on Mac), Google (Chrome) and Microsoft (Edge). We won’t test in other older browsers unless agreed separately. If you need an enhanced design for an older browser, we can provide a separate estimate for that.

Mobile browser testing – Testing using popular smaller screen devices (mobile phones and tablets) is essential in ensuring that a person’s experience of a design is appropriate to the capabilities of the device they’re using. We test our designs in:

  1. Site Launch & Marketing

Once you have approved your site, we will advise of the processes that need to be undertaken. The site will be built to be search engine friendly, but this does not suggest that the site will rank highly in the search engines without further marketing work being carried out. If you have selected the SEO service geared towards driving even more visitors to your site, we will implement these strategies during this phase.

  1. Ongoing Site Support

We will be happy to work with you to refine your site, excluding major design changes. We reserve the right to charge for any extensive modifications that fall outside the original specification. After the first month, we offer both ongoing maintenance contracts and ongoing marketing contracts. We strongly recommend that our clients consider their websites to be long-term projects. A successful website needs to remain dynamic; continual updates and marketing efforts are essential to realising your business goals.

  1. Other Clients

Thinktop Limited is willing to let you contact (or be contacted by) any of our clients regarding the web development service that they have received whilst respecting their privacy. Due to the nature of search engine promotion some clients may prefer that specifics are not discussed, if so, please request a Non-Disclosure Agreement (NDA).

These terms and conditions apply to all web development services described by Thinktop Limited and are subject to change without notice.

All prices quoted are based on the following terms:

Each website is built either within WordPress content management system, or if agreed prior, a custom development.

All textual content is to be provided by the customer (based on package selected) via email or data storage device.

Thinktop Limited will not produce work for any site or business we deem unsuitable, infringes copyright or is contrary to UK laws.

All material including content and images that have been supplied by the client and used in the construction of the website, will remain the client’s property. It will be assumed by Thinktop Limited that it is free from any infringements of Copyright law.

If a website has been built to incorporate a back-end system for client updates, Thinktop Limited will not be held responsible for any content or images uploaded after the time of the completion of the project.

The web development will be hosted on the in-house servers at Thinktop unless otherwise agreed upon. The hosting costs would be dependent on the size of the website and the volume of traffic expected. We are able to offer shared and dedicated servers.

If during the website development cycle the client wishes to cancel, Thinktop Limited has the right to invoice an amount that is deemed proportional to the amount of work that has already been carried out.

If during the development cycle the client does not supply the required content within the necessary timescales, we will consider that the client wants to cancel the project.

The copyright and ownership for all code material such as HTML/PHP/ASP/CSS/JS code and graphics provided by Thinktop Limited will remain the intellectual property of Thinktop Limited after the completion and payment for the site is received as reflected in Copyright, Designs and Patents Act 1988.

This precludes the sale, copying and distribution of our code but does not restrict your ability to sell the website when transferring business ownership or move hosting platforms.

Thinktop Limited cannot guarantee the amount of traffic that will be generated through any website we have created. We accept no responsibility or liability for the actions of any search engines.

Payment must be received within 14 working days of invoice date. Depending on the size of the project the payment terms will be agreed upon during the proposal stage, and will either be invoiced on completion or stages throughout the development. Thinktop Limited reserves the right of ownership on all work until payment is received in full. If payment is not received in the appropriate timescale, Thinktop Limited reserves the right to suspend all website and internet services immediately.

Thinktop Limited does not include maintenance of the website under the cost of the design and build of the site. An ongoing maintenance contract required for the site can be agreed to at any time after completion and the cost will be based on the amount of work involved.

Thinktop Limited reserves the right to refuse or terminate any contract at our discretion.

Website Hosting Terms of Service

  1. Terms of Service

Thinktop Limited reserves the right to suspend or cancel the hosting account and access to all of the services provided by Thinktop Limited, if it is deemed that the account has been used inappropriately. We also reserve the right to access, amend, remove or delete files from the server at any time if needed to protect the security of the servers. We reserve the right to cancel your account at any time, and if the account is cancelled all files will be deleted.

  1. Server Usage

You must not divulge user names and passwords to any other person and take every precaution to make sure that they are not discovered by any other third party. The web hosting account at Thinktop Limited is only to be used by the primary owner. Account holders are not permitted to resell, store or give away any web hosting services of their website to other parties. You are not permitted to run server processes (eg.Talkers/IRC Bots) from your virtual servers. Thinktop Limited reserves the right to refuse access to our servers to people we deem unsuitable.

  1. Hosting Content

Commercial use of web and ftp space is permitted. You will be responsible for the content on your pages, including obtaining legal permission for any works they include and ensuring that the contents of the pages do not violate UK law. You will be held responsible for any defamatory, confidential, secret or other proprietary material available via your pages. Thinktop Limited does not allow any of the following content to be stored on its servers:

Illegal Material which includes any copyrighted works, commercial video or audio, music files and any content that is contrary to UK law.

Adult material and any other lewd or obscene content. The determination of what is unacceptable is at the discretion of Thinktop Limited.

Warez which include pirated software, hacking, password cracking, IP spooling, emulators and phreaking, or any reference of ‘how to’ or ‘links to’ information about it.

Hate propaganda which can be classed as racism, bigotry and profanity or that would incite violence.

Any material that exploits children or other minority groups. Thinktop Limited will cooperate fully with investigations into infringements of systems or network security, including cooperating with UK authorities in the investigation of suspected criminal violations.

  1. Backups

We carry out a backup on the data stored on the servers in regular intervals, but we strongly recommend that our clients back up their data independently to add to the protection of the data. If you require us to provide you with a backup copy of your website at any time then just speak to our hosting team. The backup will be provided for you on a disc.

  1. Outages and Downtime

Thinktop Limited is under no obligation to compensate the customer for downtime, whether the downtime be caused by customer, Thinktop Limited, or one of Thinktop Limited’s providers. You are not entitled to a credit for downtime or outages resulting from maintenance, but we will credit 10% of the monthly hosting fee should the server be down for more than 4 hours continuously at any given time, and is the responsibility or fault of Thinktop Limited.

For the purposes of the Service Level Guarantee maintenance shall mean:

Modifications or repairs – to shared infrastructure that occurs during off peak hours in the time zone where the hosting is located

Emergency maintenance – critical unforeseen maintenance needed for the security or performance of your configuration

Routine maintenance – carried out by BT on the pipe or exchanges that we connect into

Extraordinary Events – downtime or outages resulting from denial of service attacks, virus attacks, hacking attempts, or any other circumstances that are not within our control

  1. Unsolicited Commercial Email (SPAM)

Spamming or the sending of mass unsolicited commercial advertisements or bulk messages by email is strictly prohibited. This also includes other forms of spam such as drop box, open mail relay and double opt in. Using your Thinktop Limited hosting account for such activity will result in your account being suspended if not cancelled. Any costs incurred by us as a result of the spam mail being charged to you.

  1. Usage Policy

Thinktop Limited offers our hosting clients high bandwidth usage due to the large ratios of bandwidth per customer that we maintain. If Thinktop Limited finds that a client is using the resources to such an extent that their usage may jeopardisze the integrity of the server, we have the right to charge extra for the additional bandwidth usage or relocate the site onto an alternative hosting platform.

  1. Payment Policy

All hosting packages are set up on an annual or monthly renewal basis. Accounts are set up on a pre pay basis and even though we reserve the right to change our pricing at any time, we guarantee that pricing will remain the same through the period of prepayment. Hosting accounts will continue automatically and a renewal invoice will be sent out at the start of the new yearly hosting period. Failure to pay for hosting will result in the website being suspended and if no payment has been made within 30 days the data may be removed.

  1. Cancellation

If you wish to cancel your hosting account with Thinktop Limited we require 30 days notice. No refund will be given on what may be left on the term of the hosting package. Once a hosting account is cancelled with Thinktop or a domain name moved from our servers we can no longer be held responsible for the content of the website. If we have taken the decision to terminate the account due to misuse or it is discovered that during your term the services were misused, no refund will be given

Domain Name Terms of Service

  1. Thinktop Limited may purchase domain names on behalf of the Client.

Payment in relation to, and renewal of, those domain names is the responsibility of the Client. The loss, cancellation or otherwise of the domain brought about by non or late payment is not the responsibility of Thinktop Limited. The Client should keep a record of the due dates for payment to ensure that payment is received in good time.

Thinktop Limited reserves the right to refuse or terminate any contract at our discretion.
